1. INTRODUCTION

1.1. The Platform, including the mobile application, platform and any other online services (“Platform”), is operated by RESHAPIRUL PRIVATE LIMITED (“Danphey” or “we” or “us” or “Company” or “our/s”), a company incorporated and existing under the Companies Act, 2013 and having its registered office at Vill Talla Sethi, Vardho, Talla Bardho, Nainital, Kosya Kutauli, Uttarakhand, India, 263135, for processing and manufacturing of natural fibre and designing, eco packaging and selling sustainable apparel using natural fibre through an ethical and eco-friendly supply chain.

1.2. These terms of use (“Terms”) govern the terms of usage of our Platform. These Terms constitute an electronic document published in accordance with the provisions of the Digital Personal Data Protection (“DPDP”) Act, 2023, DPDP Rules, 2025, Information Technology Act, 2000 and other applicable laws of India as amended from time to time.

1.3. These Terms are applicable to the Platform.

1.4. The headings used in these Terms are for convenience purposes only and shall not limit or otherwise affect these Terms.

2. GENERAL

You can determine when these Terms were last revised by referring to the date at the top of these Terms. The Company reserves the right to make changes to these Terms at its sole discretion, subject to applicable laws, and it is your responsibility to periodically review these Terms. By accessing the Platform, you agree that you are using the Platform solely at your own discretion and that the Company has not induced, invited, or solicited you to visit the Platform. You shall not modify, edit, alter, or use any content from the Platform in any manner that may harm the position or reputation of the Company.

3. ELIGIBILITY AND CONSENT

3.1. By accessing the Platform, the visitor(s), or the parent or legal guardian of visitor(s) who are Minors, as applicable (“Visitor(s)” or “you” or “yours”), acknowledge that they have read, understood, and agree to be bound by these Terms, including additional terms, conditions, and policies referred to herein.

3.2. These Terms apply to all Visitors of the Platform, including but not limited to browsers, vendors, customers, merchants, and contributors of content.

3.3. If the Visitors are minors, meaning under the age of eighteen (18) years (“Minors”), such Minors must use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.4. References to “he”, “his”, “him”, or “himself” shall be deemed to include all genders as well as legal or non-natural entities.

4. USE OF PLATFORM

4.1. Subject to acceptance of these Terms, the Company grants you a limited, revocable, personal, non-exclusive, non-transferable license to access and use the Platform on mobile phones, websites, tablets, and desktop devices that you own or control, solely for personal and non-commercial use.

4.2. Platform Compatibility:

4.2.1. The Platform is best viewed on the latest versions of Google Chrome, Firefox, Safari, and Microsoft Edge.

4.2.2. The Platform is best accessed using updated operating systems including Windows, macOS, Android version 10.0 or above, and iOS version 13.0 or above.

4.3. The mobile application, where applicable, is available through authorized application stores such as Google Play Store and Apple App Store. The Company does not guarantee compatibility across all devices or versions.

4.4. The Platform is compatible only with supported software and programs. The Company is not obligated to provide services on unsupported or incompatible devices.

4.5. The Company reserves the right to upgrade or modify the Platform from time to time.

4.6. The Company may modify the nature, content, or functionality of the Platform at any time, including introducing transactional or commercial features, subject to applicable law.

4.7. Third-Party Links:

4.7.1. The Platform may contain links to third-party platforms (“Third-Party Sites”). The Company does not control or endorse such sites and is not responsible for their content, practices, or consequences arising from their use.

4.7.2. The Platform may include third-party content. The Company shall not be responsible for opinions, claims, or intellectual property belonging to such third parties.

4.7.3. The Company may modify, suspend, or discontinue any aspect of the Platform at any time without notice and shall not be liable for such actions.

5. PRODUCT INFORMATION, DISPLAY AND AVAILABILITY

5.1. The Platform may display product-related information solely for informational purposes.

5.2. Product descriptions, images, features, and specifications are subject to change without notice.

5.3. Product dimensions, colours, textures, and finishes are approximate.

5.4. The Company does not guarantee that product displays on devices will accurately reflect the actual product.

5.5. Display of products does not constitute an offer for sale or guarantee of availability.

5.6. The Company is not responsible for inaccuracies in information provided by third-party sources.

6. MISCELLANEOUS

6.1. Risk of loss for products passes to the purchaser upon delivery by the carrier.

6.2. The Platform is controlled and operated from Uttarakhand, India, and is subject exclusively to Indian laws.

7. INTELLECTUAL PROPERTY

All content on the Platform, including text, graphics, software, designs, and media, is owned or licensed by the Company or third parties. No rights are granted except as expressly stated in these Terms.

8. DELETING YOUR INFORMATION

8.1. Visitors may request deletion of personal information by writing to arjun@danphey.com.

8.2. Certain information may be retained as required by law.

8.3. The Company is not responsible for information shared independently with third parties.

9. CONDUCT OF VISITORS

9.1. Visitors agree not to upload, share, or transmit unlawful, harmful, infringing, misleading, or malicious content, including but not limited to offensive material, viruses, illegal activities, or unauthorized commercial use.

10. CONFIDENTIALITY

The Company shall protect confidential information in accordance with the Privacy Policy and applicable law.

11. PROPRIETARY RIGHTS

The Platform is protected by intellectual property laws. No ownership rights are transferred to Visitors.

12. PRIVACY POLICY

Visitors agree to the Privacy Policy and consent to the use of their information accordingly.

13. INDEMNIFICATION

Visitors agree to indemnify the Company against claims arising from breach of these Terms or violation of law.

14. ASSIGNMENT

The Company may assign its rights and obligations under these Terms to third parties.

15. TERMINATION

15.1. These Terms remain effective until terminated.

15.2. Visitors may terminate by discontinuing use of the Platform. The Company may terminate at any time without notice.

17. LIMITATION OF LIABILITY

The Company shall not be liable for indirect, incidental, or consequential damages, subject to applicable law.

18. SEVERABILITY AND WAIVER

If any provision is found invalid, the remaining provisions shall remain enforceable.

19. JURISDICTION

These Terms are governed by the laws of India. Arbitration shall take place in Uttarakhand, India.

20. GRIEVANCE REDRESSAL

20.1. Grievances shall be acknowledged within forty-eight (48) hours and resolved within one (1) month on a best-effort basis.
